Whether you are looking to serve on your first nonprofit or corporate board or are building out your board service portfolio, this dynamic and experienced speaker panel will provide key techniques, tools and tips needed to craft a successful board search strategy.

This panel of accomplished leaders included Kimberly Alexy, who sits on six tech company boards and held her first board seat at the age of 34 as well as Jill Griffin, corporate director and author of Earn Your Seat on a Corporate Board. Moderated by Rochelle Campbell, nonprofit director and Senior Manager of Board Recruitment Services for NACD. Rochelle has advised more than 3,000 boards on leading governance practices and board composition. This program contained personal stories and cases to help guide the way to your next or first board seat.

Rochelle Campbell, Moderator

Director, Child Steps International

Rochelle Campbell leads the National Association of Corporate Directors (NACD)'s Board Recruitment practice. She has placed directors on corporate boards ranging from family-owned businesses to Fortune 500 companies and spanning a breath of industries including construction, technology, energy, insurance, financial services, and global manufacturing. Eighty percent of NACD's placements in 2015 were diversity candidates.

Rochelle has advised more than 3,000 boards on leading governance practices and board composition. She also coaches more than 270 military flag and general officers (1-4 stars), helping them to successfully transition their military experience into the private sector.

Rochelle is a director of Child Steps International, an international nonprofit supporting children and communities in Liberia. She chairs their Communications Committee. Rochelle holds a Master of Science from George Mason University.

Jill Griffin

Director – Griffin Group, Luby’s/Fuddruckers, Broadway Bank, NACD Texas TriCities Chapter

Jill Griffin is an independent public board director; board governance fellow and internationally-published, Harvard “Working Knowledge” author. She is the Customer Loyalty Expert for LinkedIn/Microsoft’s popular training site, Lynda.com.

Most recently, she is author of Earn Your Seat On a Corporate Board. Her newest book, Women Make Great Leaders will release late May. This will be her fifth book.

Since 2003, Jill has served as Board Director for Luby’s/Fuddruckers restaurants (NYSE: LUB). She chairs the Talent & Administration committee which oversees Store Operations, Talent Management, Marketing/Social Media, Information Technology and Succession Planning.

Jill is a founding member of the National Association of Corporate Directors’ (NACD) Texas TriCities Chapter and sits on its board of directors and serves on the Austin program committee.

Jill holds her Bachelor of Science (Magna Cum Laude) and MBA degrees from The University of South Carolina’s Darla Moore School of Business. Jill was an MBA fellowship recipient and was awarded the 2005 Distinguished Alumna Award. She served on the school’s board of trustees for nine years. Jill began her career in brand management in 1979 at R.J. Reynolds Tobacco Company where she rose through executive leadership to manage the corporation’s largest brand, Winston.

She chaired VisitAustin.org for eight years and is leading Austin’s 2020 Board initiative to bring diversity into the corporate boardroom.

Jill’s hobbies include acrylic painting and charcoaling, Southern “Beach Music” and Civil War and WWII history. Raised in North Carolina (with the accent to prove it), Jill has made her home Austin, Texas since 1985.

Kimberly Alexy

Principal, Alexy Capital Management

Kimberly Alexy is a seasoned finance professional and corporate Board member. She has over 20 years of experience in capital markets, corporate finance and investments with expertise in exploring shareholder value creation strategies, executing mergers and acquisitions and various equity and debt financings. She was a sell-side equity research analyst on Wall Street for nearly a decade specializing in technology stocks and was acknowledged by leading financial publications such as the Wall Street Journal for her stock picking expertise. Over the past decade, she has been an active Board member at multiple publicly-traded and pre-IPO companies and has Chaired Audit, Compensation, Nominating and Governance Committees as well as a series of Special Committees. She has also taught Finance in the Graduate School of Business at San Diego State University. She has been Principal at Alexy Capital Management, a private investment fund she founded, since 2005.
Corporate Board Leadership Ms. Alexy has served on the Board of Directors of multiple publicly-traded companies and qualifies as a “financial expert”. At present, she serves on the Boards of Alteryx, FireEye, Five9, CalAmp, Microsemi and privately-held VIZIO.

From 2009 until its acquisition in 2011, Ms Alexy served on the Board of Directors at SMART Modular (NASDAQ: SMOD), a $750 million memory module and solid state drive manufacturer. Ms. Alexy Chaired the Special Committee which led the evaluation of strategic alternatives and ultimately resulted in the sale of the company to a private equity investor. During her tenure, Ms Alexy also Chaired the Nominating and Governance Committee and served on the Audit and Compensation Committees.
From 2005 until 2010, Ms Alexy served on the Board of Directors at Dot Hill Systems (NASDAQ: HILL), a $250 million storage systems company. Throughout her tenure she Chaired the Audit Committee, Compensation Committee and a Special Committee formed to investigate a 2004 financial restatement. She was also a member of the Nominating and Governance Committee and was heavily involved in recruiting Board and senior management positions in that role.

From 2009 until its sale in 2010, Ms Alexy served on the Board of Directors at Southwest Water (NASDAQ: SWWC), a $200 million water and wastewater utility with maintenance and services businesses. She served as Chair of the Compensation Committee and a member of the Audit Committee. She was also involved in the evaluation of strategic alternatives for the company which ultimately resulted in a sale of the company for a 71% 30-day premium to a financial buyer.

From 2005 until its acquisition by Seagate (NYSE: STX), she served on the Board of Directors at Maxtor (NYSE: MXO), a $4 billion manufacturer of hard disk drives, where she served on the Nominating and Governance Committee. She was involved in the exploration of strategic alternatives for the company which ultimately resulted in the sale to Seagate.

Ms. Alexy has presented at various Board events on issues including mergers and acquisitions, corporate governance, diversity and executive compensation for the National Association of Corporate Directors (NACD), Forum of Corporate Directors (FCD), Women in the Boardroom and Association of Corporate Growth (ACG), among others.

In 2017, she was awarded Director of the Year by the Forum for Corporate Directors in the category of corporate growth and development.

Professional Experience
From 1995 until her retirement in 2003, Ms. Alexy served as a sell-side equity research analyst on Wall Street for Lehman Brothers and Prudential Securities in New York. From 1998 to 2003, she was Senior Vice President and Managing Director of Equity Research for Prudential Securities, where she served as the principal technology hardware analyst and received top analyst rankings from the Wall Street Journal and Institutional Investor magazine. In her role, she regularly appeared on CNBC, Bloomberg TV and other news channels and was consistently ranked among the top analysts at her firm as measured by institutional client votes. Prior to joining Prudential, Ms. Alexy was Vice President of Equity Research at Lehman Brothers, where she covered the computer hardware and storage sectors. She was involved in several initial public offerings, secondary offerings and merger and acquisition transactions during her tenure. Prior to that, Ms. Alexy was Assistant Vice President of Corporate Finance at Wachovia Bank where she worked on private placements, loan syndications and off-balance sheet transactions in the firm’s investment banking division.

In 2005, Ms. Alexy founded Alexy Capital Management which is a private investment fund specializing in asset allocation and security selection with a bias towards mean-reverting strategies. Since her first investment in Berkshire Hathaway stock in her teenage years, Ms. Alexy has been an avid investor in the stock market and has a genuine passion for the financial markets.

From 2012 to 2014, Ms. Alexy served as a lecturer at San Diego State University where she taught finance to students in the Graduate School of Business and supervised investments in the Aztec Equity Fund. Students were assigned an industry sector within the S&P 500 and were taught how to analyze and value companies in an effort to select stocks that would outperform their benchmarks. The students have at-risk capital in this class, and the fund’s benchmark is the S&P 500. Ms. Alexy led discussions on current events in the financial markets, analyzed portfolio events including capital markets transactions, earnings reports and conference calls, and led discussions on valuation and financial modeling.

Education
Ms Alexy holds the Chartered Financial Analyst (CFA) designation and has completed a series of continuing education programs in Board Governance at Stanford University, Northwestern University, UCSD and Corporate Board Member Summit and Peer Exchanges. She is a member of the Audit Committee Roundtable of Orange County.

She holds a B.A. from Emory University and completed her undergraduate degree in 2 ½ years while working part-time. She earned an M.B.A. from the College of William & Mary with a concentration in finance and accounting.

Other Interests and Skills
Ms. Alexy rides horses and attempts to golf. She is a fitness enthusiast and has competed in a series of events (including the Catalina 50K, Ironman New Zealand and Escape from Alcatraz triathlons). She earned a black belt in Tae Kwon Do and has a keen interest in dance and travel.

Ms. Alexy is originally from Philadelphia and currently lives on the Southern California coast with her husband and two sons. She is passionate about disruptive education models and learning new things.
