10/7/16 Houston | Inside the Blue Ribbon Commission on Board Refreshment
Throughout the spring and summer, more than 25 experienced directors, investors, and leading governance professionals are developing specific guidance for boards on how to calibrate their current and future capabilities against their organizations’ strategic requirements. The 2016 NACD Blue Ribbon Commission (BRC) explored building and maintaining a strategic-asset board, focusing on issues such as board composition and diversity, succession planning, board-evaluation processes, and ongoing director-skills development.“The commission’s aim is to help directors move beyond the traditional approaches to board refreshment and develop a continuous-improvement plan that keeps board skill sets and processes in tune with the company’s strategic needs,” said Bonnie Hill, commission co-chair. Local chapter members convened for breakfast on October 7, 2016 to take an inside look at the findings of the commission and summary of the report. Bonnie Hill lead the discussion and each attendee will receive a copy of the 2016 BRC.

Frank Sowinski is the Lead Independent Director of Buckeye Pipeline Company where he chairs the nominating and corporate governance committee and is a member of the audit committee. He is also on the Board of Directors of CDK Global, Inc. where he chairs the audit committee and is a member of the nominating and corporate governance committee.
Since January 2006, he has been a Management Affiliate of MidOcean Partners, a private equity firm, and was Vice-Chairman and a member of the Board of Directors of the Allant Group and LegalShield, two portfolio companies. Mr. Sowinski also chairs the Princeton Varsity Club, the alumni athletic board of Princeton University.
He spent most of his career at the Dun & Bradstreet Corporation serving in numerous positions including Executive Vice President of Global Marketing, Chief Financial Officer and President of the D&B Operating Company. He also held positions as Executive Vice President - Chief Financial Officer of PricewaterhouseCoopers Consulting prior to its sale to IBM in 2002 and Executive Vice President of Liz Claiborne, Inc.
He received his engineering degree from Princeton University and has a MBA from the Darden School at the University of Virginia.

Bonnie G. Hill is president of B. Hill Enterprises LLC and co-founder of Icon Blue Inc., a Los Angeles-based brand marketing company. She has 23 years of corporate board service experience and has served on 11 corporate boards. She currently sits on the boards of the California Water Service Group and the RAND Corp., and retired from the board of Yum! Brands Inc. in May 2015. Hill was named to NACD Directorship magazine's D100 list of the most influential people in corporate governance in 2010, and in 2015 she received NACD's B. Kenneth West Lifetime Achievement Award. She received the Outstanding Director Award from the Financial Times' Outstanding Directors Exchange in 2011.
